1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Personnect.ai LLC ("Personnect," "we," "us," or "our"), governing your access to and use of the Personnect platform, including our website at https://personnect.ai, APIs, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Personnect is a B2B sales dialer platform that enables businesses to make outbound calls, record conversations, analyze call data, and integrate with CRM systems. The Service includes call routing, AI-powered analytics, voicemail detection, and third-party integrations.

Personnect is a neutral technology platform. We provide dialing infrastructure and analytics tools. We bear no responsibility for how users utilize the dialing capabilities provided through the Service. Personnect does not monitor, screen, or approve the content or recipients of calls made through the Service. You are solely responsible for ensuring compliance with all applicable laws.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

4. Pricing and Payment

Personnect operates on a usage-based pricing model. The current rate is $0.085 per minute (8.5 cents per minute) of call time. Usage is calculated based on connected call duration.

  • Billing is processed monthly in arrears based on actual usage
  • All fees are in US dollars and are non-refundable unless otherwise stated
  • We reserve the right to modify pricing with 30 days' written notice
  • Failure to pay may result in suspension or termination of your account
  • You are responsible for any applicable taxes

5. Acceptable Use Policy

You agree to use the Service only for lawful B2B sales purposes. You must NOT:

  • Make unsolicited calls to consumers in violation of the Telephone Consumer Protection Act (TCPA)
  • Call numbers registered on the National Do Not Call (DNC) Registry without a valid exemption
  • Engage in robocalling, spam calling, or any form of automated dialing to consumers without prior consent
  • Use the Service for harassment, threats, or any illegal purpose
  • Misrepresent your identity or the purpose of your calls
  • Violate any applicable federal, state, or local telecom regulations
  • Use the Service to transmit malware or interfere with other users
  • Resell or sublicense the Service without our written consent
  • Attempt to reverse engineer, decompile, or access the source code of the Service

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. Your Data

You retain ownership of all data you upload to or create through the Service ("Customer Data"). By using the Service, you grant Personnect a worldwide, perpetual, irrevocable, royalty-free license to use, process, store, analyze, and derive insights from Customer Data for the purposes of providing and improving the Service, developing new features, training machine learning models, generating aggregated benchmarks, and any other legitimate business purpose. This license survives termination of your account. We will not sell your raw Customer Data to third parties. We will handle your data in accordance with our Privacy Policy.

The Service includes automatic call recording and AI analysis as core features. By using the Service, you acknowledge and consent to the recording and analysis of all calls made through the platform.

You are solely responsible for ensuring that your use of the Service, including call recordings, complies with applicable consent and disclosure laws (including two-party consent states).

7. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Personnect and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding. We reserve all rights not expressly granted.

8. Third-Party Integrations

The Service may integrate with third-party tools, including CRM systems and telephony providers. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of integrations is subject to the respective third party's terms.

9. Service Availability & Force Majeure

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. The Service is provided on an "as is" and "as available" basis. We may perform scheduled maintenance with reasonable notice.

We are not liable for downtime, interruptions, or data loss arising from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of God, war, terrorism, government actions or orders, civil unrest, labor disputes, telecom provider outages, internet service disruptions, third-party service failures, power outages, cyberattacks, sanctions, or any other force majeure event. During such events, our obligations under these Terms are suspended for the duration of the event.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSONNECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PERSONNECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Personnect, its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

  • Your use of the Service, including all calling activities conducted through the platform
  • Any violation of these Terms or the Acceptable Use Policy
  • Any violation of applicable law or regulation, including TCPA, DNC, state telecom laws, and international calling regulations
  • Any claims, lawsuits, or complaints from recipients of calls made through the Service
  • Regulatory fines, penalties, or enforcement actions by any government agency arising from your calling activities
  • Any third-party claims arising from the content, nature, or targeting of your calls
  • Your breach of any representation or warranty made under these Terms

This indemnification obligation survives termination of these Terms and your account.

12. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may suspend or terminate your account immediately if you violate these Terms or the Acceptable Use Policy. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be deleted.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14. TCPA Compliance Acknowledgment

BY USING THE SERVICE, YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT:

  • You are solely responsible for compliance with the Telephone Consumer Protection Act (TCPA), the National Do Not Call Registry, all state telecom and consumer protection laws, and all other applicable regulations governing outbound calling
  • Personnect provides dialing tools and technology infrastructure — not legal advice, compliance services, or regulatory guidance
  • It is your obligation to obtain any required consent before placing calls, to scrub your lists against the DNC registry, and to comply with all calling time restrictions and disclosure requirements
  • Personnect makes no representations or warranties regarding the legal compliance of your specific calling activities
  • You should consult with your own legal counsel regarding your compliance obligations

15. Dispute Resolution & Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Palm Beach County, Florida.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Personnect.

The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction in Palm Beach County, Florida, for claims relating to intellectual property or unauthorized access to the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Personnect.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations freely.
